OUTBOUND RUSSIAN AND CIS M&A PRACTICE

Over the last decades “Russian-style M&A” was a phrase most used when discussing the practice of M&A within Russian and the CIS. The phrase was a construct of the meeting of various well developed M&A schools (mainly US and English) with Russian practice in the Russian Market. Now with Russian capital playing a larger role in foreign M&A markets, in the form of Russian corporates and banks, with sophisticated in-house M&A and legal teams in tow (or in the lead) it is worth examining whether a particular approach to M&A has developed and most importantly what practitioners used to the English, US and European schools of M&A can learn from Russian practice. The panel will focus on the experience of M&A not only in European and US markets but also those markets where Russian and CIS players have an even greater proportionate share of inward investment — including Africa and some markets in the Middle East.

The panelists will address which industry segments provide opportunities for private equity, the types of transactions prevailing, deal issues and how they are resolved as well as challenges for private equity players when competing with strategic investors in M&A.
